SUBSCRIPTION AGREEMENT
By proceeding with the payment of your subscription, you acknowledge that your subscription is subject to this Subscription Agreement (this “Agreement”, “Terms”), Terms of Use of Accio.com (the “Terms of Use”), and Privacy Policy of Accio.com (the “Privacy Policy”).
1.
Subscriptions. To access subscription services ("Subscription"), individuals must first create an account and then follow the subscription procedure as directed by Accio.com.
2.
Subscription content, features, and services. The content, features, and other services provided as part of your Subscription (the “Services”), and the duration of your Subscription, will be described in the order process. We may change the content, features, and other services from time to time, and we do not guarantee that any particular piece of content, feature, or other service will always be available through the Services.
3.
Fees and billing. You may be required to pay us fees to access or use our Services or certain features of our Services. You are responsible for paying any applicable fees listed for the Services in Exhibit A ("Pricing Policy") of this Agreement unless otherwise communicated to you by Accio.com in writing. Fees are exclusive of taxes, which will charged as required by applicable law in connection with the Services. Accio will use the name and address in the Account as the place of supply for tax purposes. All Fees under this Agreement shall be paid in full, without any deduction or withholding for taxes, levies, duties, tariffs, or other charges of any nature imposed by any governmental authority. If any such deduction or withholding is required by law, You must increase the payment to Accio so that the net amount received equals the amount invoiced.
4.
Billing Information. If you purchase access to our Services or features of our Services, you must provide complete and accurate billing information (“Payment Method”). You agree that we may charge the Payment Method for any applicable fees listed on our Services and any applicable tax. If the fees for these Services or features are specified to be recurring or based on usage, you agree that we may charge these fees and applicable taxes to the Payment Method on a periodic basis.
5.
Purchase Through Reseller. If you purchase access to our Services through a distributor (e.g. iOS App Store, Google Play App Store, or any other App Store) (“App Distributor”), then you will make payment to the App Distributor, and the App Distributor’s terms in relation to payment methods, billing, and refunds will apply instead of these Terms. Except as expressly provided in these Terms or where required by law, all payments are non-refundable. Please check your order carefully before confirming it, and see Exhibit A for additional information about recurring charges for our subscriptions.
6.
Managing Your Subscription. You can only renew, cancel, terminate, upgrade, downgrade or otherwise make changes to your Subscriptions on Accio.com ("Changes"). If you have signed-up with Accio.com using your Alibaba.com's account credentials, whereby your accounts on both platforms will be linked automatically, any changes to your subscription will take effect simultaneously and automatically on both Accio.com and AI Mode on Alibaba.com without further action required. And, your subscription benefits are shared between Accio.com and AI Mode on Alibaba.com subject to your plan limitations.
7.
Subscription fees. You will pay the fees, either to us or to the App Distributor, for the Initial Term and each subsequent Renewal Term up front, at the start of that Initial Term or Renewal Term, as applicable. We have the right to make changes to the fees applicable to your Subscription from time to time, although we will not make any change to the fees applicable to your Subscription during the current Initial Term or Renewal Term, as applicable. If these changes result in an increase in the fees payable by you, we will inform you at least 30 days in advance of the change. You agree to the increase in fees payable by you unless you cancel the Subscription, as described in the paragraph 11(Subscription cancellation), before the Renewal Term to which the increase in fees will apply.
8.
Additional fees. We may increase fees for our Services. If we charge additional fees in connection with our Services, we will give you an opportunity to review and accept the additional fees before you are charged. Also, additional fees may apply for additional Services or features of the Services that we may make available. If you do not accept any such additional fees, we may terminate your access to the Services or features.
9.
Payment Error. You agree that we are not liable for technical errors, processing delays, or other issues arising from third-party payment processors.
10.
Subscription term and automatic renewal. If you sign up for a paid Subscription, we or the App Distributor will automatically charge your Payment Method on each pre-scheduled renewal date until you cancel. If your Subscription has a minimum term (the “Initial Term”), we will let you know during the order process. Your Subscription will last for the Initial Term and will automatically renew, and your Payment Method will be charged, at the end of the Initial Term for an additional term equal in duration to the Initial Term and will continue to renew and incur charges for additional terms equal in duration to the Initial Term (each such additional term, a “Renewal Term”) until you cancel. Please refer to Exhibit A for detailed Pricing Policy.
11.
Auto Renewal. To avoid renewal and charges for the next Renewal Term, cancel your subscription at least 24 hours before the last day of the Initial Term or any Renewal Term. For example, if you subscribed on March 1st with a one-month Initial Term, you must cancel the Subscription per the instructions by March 31st (24 hours before April 1st) to avoid renewal and charges for the next Renewal Term. In the event of a cancellation, your fees will not be refunded, but your access to the Services will continue through the end of the Initial Term or any Renewal Term for which you previously paid fees.
12.
Subscription cancellation. If you subscribed via our website, you may cancel your Subscription for any reason by using a method we may provide to you. If you subscribed via an App Distributor, you’ll need to cancel via the App Distributor according to the App Distributor’s terms. For instructions on canceling subscriptions via the App Distributor, refer to the App Distributor’s office websites or support documentation for more detail.
13.
Miscellaneous. This Agreement, together with the Terms of Use, Privacy Policy, and other policies posted on Accio.com from time to time constitute the entire agreement (the “Entire Agreement”) between you and ACCIO GLOBAL TECHNOLOGY PTE. LTD. with regard to your use of the AI Agent Services. Unless explicitly replaced, amended, modified, or repealed by the terms of this Agreement, all the terms and conditions otherwise incorporated in the Entire Agreement shall remain in full force and effect. If there are any conflicts between the terms of this Agreement and the terms of Entire Agreement, the Entire Agreement must be interpreted in a way which renders provisions valid and enforceable to the maximum extent, not exceeding their express terms, possible under applicable law.
EXHIBIT A
PRICING POLICY
1.
Auto-Renewal Policy:
Subscriptions will automatically renew at the end of each billing period until the user explicitly cancels the auto-renewal.
2.
Cancellation Effectiveness:
Any cancellation request will take effect after the current subscription billing period ends. No refunds will be issued for the remaining term.
3.
Upgrading from Monthly to Annual Package:

for subscriptions made on platforms other than Apple iOS:
○
The upgrade will apply immediately.
○
Billing cycle will be deemed to start on the date of upgrade.
○
We will charge you the full rate of annual package credited for the pro-rated rate based on the remaining days in the current billing cycle.
○
Search Allowances will be reset.
Example: If upgrading from Starter Monthly to Starter Annual during a 30-day monthly subscription on the 15th day:
1)
The Starter Annual package starts on the 15th day.
2)
You'll pay $141.50 (the full price of $149 minus $7.50 the pro-rated rate of Start Package for 15 days).
3)
Search Allowances will be recharged to maximum.

for subscriptions made through App iOS:
○
The upgrade will apply immediately.
○
Billing cycle will be deemed to start on the date of upgrade.
○
We will provide a pro-rated refund based on the remaining days in the current billing cycle.
○
We will charge you the full rate of the annual package.
Example: If upgrading from Starter Monthly to Starter Annual during a 30-day monthly subscription on the 15th day:
1)
The Starter Annual package starts on the 15th day.
2)
We will refund you $7.50 (the pro-rated rate of Start Package for 15 days).
3)
You'll pay $149.00 (the full price).
4)
Search Allowances will be recharged to maximum.
4.
Downgrading from Annual to Monthly:
The downgrade will only take effect after the current annual subscription period expires.
5.
Upgrading Between Package Levels (Same Subscription Period):

for subscriptions made on platforms other than Apple iOS:
○
The upgrade will apply immediately.
○
Billing cycle will stay unchanged.
○
You will be charged the difference of the pro-rated rate based on the remaining days in the current billing cycle.
○
Search allowances will be topped up to match the new package level.
Example: If upgrading from Starter to Pro during a 30-day monthly subscription on the 15th day:
1)
You’ll pay $7.50 (half the monthly Pro price of $14.95 minus half the monthly Starter price of $7.45).
2)
Search allowance increases to Pro Package allowances (used search allowances will be deducted).

for subscriptions made through Apple iOS:
○
The upgrade will apply immediately.
○
Billing cycle will be deemed to start on the date of upgrade.
○
We will charge you the full rate of the new package and you start to enjoy the new package benefits immediately.
○
We will provide a pro-rated refund based on the remaining days in the current billing cycle.
Example: If upgrading from Starter to Pro during a 30-day monthly subscription on the 15th day:
1)
You'll pay $29.90 (the full price).
2)
Your Pro Package subscription will be deemed to have started on the date of upgrade.
3)
We will refund you $7.50 (the pro-rated rate of Start Package for 15 days).
4)
Search allowance increases to Pro Package allowances.
6. Downgrading Between Package Levels (Same Subscription Period):
The downgrade will only take effect after the current subscription period ends.
7. Free Trial.

The free trial is available only once per account.
●
During the free trial period, if you decide to downgrade to Free Package, your subscription will be deemed immediately terminated and all your unused privileges will be forfeited.
●
If you decide to upgrade or downgrade your subscription during your free trial between Starter Package, Pro Package, or Business Package, your free trial period will be deemed terminated immediately and the rules regarding upgrade and downgrade from Section 1 through Section 6 of this Pricing Policy will apply.
8. Round Up.
All pro-rated pricing will be rounded up to two digits after decimal point.
